1.Income | An individual whose income exceeds $200,000, or joint income with a spouse of $300,000 for the last 2 years, with the expectation of the same for the forthcoming year.

 

2.Net Worth | An individual whose net worth or joint net worth with spouse exceeds $1 million, excluding the valuation of their primary residence, at the time of purchase.

 

•This Offering is made available under the Rule 506 of Regulation D under the Securities Act, and only to persons meeting the definition of "Accredited Investor" under Regulation D. There will be no public market for the Interests. The Interests may not be resold except under limited circumstances in compliance with applicable laws and other restrictions. Interests in a limited liability company are referred to herein as "Interests." Holders of Interests are referred to herein as "Members" or "Investors."
